Module licence, version 1.2

Grimmtale Studios Proprietary Licence, version 1.2, effective 18 September 2026.

This Licence is a legal agreement between Grimmtale Studios LLC (the "Licensor") and the person or entity exercising any right under it (the "Licensee"). It governs every module published by the Licensor, whether offered free of charge or by way of subscription. The Software is proprietary. Its source code is published for inspection, but the Software is not open source software, and no right is granted in respect of it save as expressly set out in this Licence. By installing, running, copying, modifying, building or contributing to the Software, the Licensee accepts this Licence.

1. Definitions and interpretation

1.1 In this Licence the following expressions have the following meanings:

"Contribution" means any material, including source code, object code, text, artwork, translations, documentation or data, that the Licensee submits to the Licensor for inclusion in the Software;

"Entitlement" means a current paid membership of a tier that includes the relevant Software, or a content key or purchase covering the relevant Software, in each case obtained through a channel operated or authorised by the Licensor, including the Foundry Virtual Tabletop protected content system. A membership is current while the payments due for it have been made. A content key or purchase is current until revoked under clause 8;

"Foundry Virtual Tabletop" means the virtual tabletop software of that name published by Foundry Gaming, LLC;

"Free Module" means any Software that the Licensor publishes as free of charge at grimmtalestudios.com;

"Official Repository" means a source code repository for the Software published by the Licensor on a hosting platform of the Licensor's choosing;

"Software" means any module published by the Licensor, including its source code, compiled output, templates, stylesheets, localisation files, assets and documentation, and any part of it;

"Subscriber Module" means any Software that is not a Free Module; and

"Table" means a single Foundry Virtual Tabletop world or campaign that the Licensee owns, hosts or runs as gamemaster.

1.2 Clause headings are for convenience only and do not affect the interpretation of this Licence. A reference to a clause is a reference to a clause of this Licence. The words "include" and "including" are to be construed without limitation.

2. Licence of the Free Modules

2.1 The Licensor grants to the Licensee a personal, non-exclusive, non-transferable, royalty-free licence to:

(a) install and run the Free Modules on Foundry Virtual Tabletop servers that the Licensee owns or controls;

(b) use the Free Modules at the Licensee's own Tables, including Tables at which players hold no licence from the Licensor; and

(c) modify the Free Modules for the Licensee's own private use at those Tables.

2.2 The licence granted by clause 2.1 continues for so long as the Licensee complies with this Licence.

3. Licence of the Subscriber Modules

3.1 For so long as an Entitlement is current, the Licensee may download each release of the Subscriber Modules that the Entitlement covers, as described at the point at which the Entitlement was obtained.

3.2 In respect of each version of a Subscriber Module downloaded under an Entitlement, the Licensor grants to the Licensee a personal, non-exclusive, non-transferable licence to:

(a) install and run that version on Foundry Virtual Tabletop servers that the Licensee owns or controls;

(b) use that version at the Licensee's own Tables, including Tables at which players hold no Entitlement, provided that those players receive no copy of the Software and no independent access to it; and

(c) modify that version for the Licensee's own private use at those Tables.

3.3 The licence granted by clause 3.2 is not limited in time and continues whether or not the Entitlement remains current, subject to termination under clause 8. Releases published after an Entitlement ceases to be current require a current Entitlement.

3.4 No right or licence is granted by implication, estoppel or otherwise save as expressly set out in this Licence.

4. Source code

4.1 The Licensor publishes the source code of the Software in Official Repositories. Nothing in this clause 4 grants any right to install or run the Software at a Table. Such rights arise only under clauses 2 and 3.

4.2 The Licensee may:

(a) view, study and audit the source code;

(b) fork an Official Repository on the hosting platform on which it is published, and maintain that fork publicly on that platform, for the purpose of reading the source code or proposing changes to the Licensor;

(c) build the Software from source, and run the resulting build solely for the purpose of developing or testing a change that the Licensee intends to propose to the Licensor, or otherwise as clauses 2 and 3 permit; and

(d) reproduce reasonable excerpts of the source code for the purpose of reporting a defect, seeking assistance or commenting on the Software.

4.3 The Licensee shall not use the published source code, or anything built from it, to install or run a Subscriber Module without an Entitlement, to distribute the Software otherwise than as clause 4.2(b) permits, or to make any competing or derivative module available to any third party.

5. Contributions

5.1 By submitting a Contribution the Licensee:

(a) grants to the Licensor a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, distribute and commercially exploit the Contribution, whether as part of the Software or otherwise and under this Licence or any other terms, and undertakes to execute any confirmatory assignment or other document that the Licensor may reasonably request;

(b) warrants that the Contribution is the Licensee's original work, that the Licensee has the right to grant the licence in clause 5.1(a), and that to the Licensee's knowledge the Contribution does not infringe the rights of any third party;

(c) warrants that the Contribution was created in accordance with the statement on the use of artificial intelligence in the README of the relevant Software and that, where that Software is designated Zero AI, no generative artificial intelligence tool was used at any stage of its creation; and

(d) acknowledges that the Licensor has sole discretion as to whether, and in what form, the Contribution is included in the Software.

5.2 The Licensee retains copyright in the Contribution. Nothing in this clause 5 grants the Licensee any right in the Software beyond those set out in clauses 2 to 4.

6. Restrictions

6.1 Except as expressly permitted by clauses 2 to 5, the Licensee shall not, and shall not permit any third party to:

(a) copy, publish, upload, mirror, host, share, lend, sell, rent, sublicense or otherwise distribute the Software, in original or modified form, whether or not for consideration;

(b) make the Software available through any package repository, module listing, file hosting service, torrent, archive, chat attachment or version control host, whether public or private, save for a fork permitted by clause 4.2(b);

(c) incorporate the Software into any other product, module, package or work that is distributed to any third party;

(d) remove, obscure or alter any copyright notice, licence notice, attribution or in-application branding, including the Grimmtale Studios footer displayed in the windows of the Software;

(e) circumvent, disable or assist any person to circumvent any subscription check, licence key, content key, access control or distribution gate;

(f) share any licence key, content key or install link, or use any such key or link issued to another person; or

(g) use the name Grimmtale Studios, the prefix "GS:" or the GS mark on anything the Licensee distributes, or in any manner that suggests that the Licensor created, endorsed or supports it.

7. Ownership and trade marks

7.1 The Software is licensed, not sold. The Licensor retains all right, title and interest in and to the Software, including all intellectual property rights. Any modification made by the Licensee under clause 2, 3 or 4 remains subject to this Licence and confers on the Licensee no ownership of the Software.

7.2 Grimmtale Studios, the prefix "GS:" and the GS mark are trade marks of the Licensor. No right to use them is granted by this Licence.

8. Termination

8.1 This Licence terminates automatically and without notice upon any breach of clause 6 by the Licensee. Upon termination the Licensee shall cease all use of the Software and destroy every copy in the Licensee's possession or control, and the Licensor may revoke any licence key, content key or install link issued to the Licensee.

8.2 The expiry or cancellation of an Entitlement is not a termination of this Licence. Clause 3 governs what the Licensee retains.

8.3 Termination does not of itself entitle the Licensee to any refund, save as required by law or as provided in the Licensor's Terms published at https://grimmtalestudios.com/terms, and is without prejudice to any other right or remedy of the Licensor.

9. Third-party software and content

9.1 Foundry Virtual Tabletop is required in order to use the Software and is licensed to the Licensee separately by Foundry Gaming, LLC. Foundry Virtual Tabletop may be obtained, and any content key for the Software activated, at https://foundryvtt.com. Foundry Virtual Tabletop and Foundry VTT are trade marks of Foundry Gaming, LLC. The Licensor is not affiliated with or endorsed by Foundry Gaming, LLC.

9.2 The Software may reference, summarise or interoperate with game systems, rules or content owned by third parties. Such material remains the property of its owners and is not licensed under this Licence. The Software is not affiliated with, endorsed by or sponsored by any such owner unless expressly stated.

9.3 Any third-party library distributed with the Software is licensed under its own terms, which are identified in the Official Repository and are unaffected by this Licence.

10. Disclaimer of warranty

10.1 THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

10.2 Where the Licensee is a consumer, nothing in this Licence affects the Licensee's statutory rights, including rights under the Consumer Rights Act 2015 in the United Kingdom. Clauses 10 and 11 apply only to the extent permitted by law.

11. Limitation of liability

11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, LOSS OF DATA OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR ITS USE.

11.2 Nothing in this Licence excludes or limits any liability that cannot lawfully be excluded or limited.

12. Governing law and disputes

12.1 This Licence is governed by the law of the State of Arizona, United States of America.

12.2 Any dispute arising out of or in connection with this Licence shall be resolved by binding arbitration under the rules of the American Arbitration Association.

12.3 Where the Licensee is a consumer in the United Kingdom or the European Union, nothing in this clause 12 deprives the Licensee of any statutory right that cannot be excluded by agreement.

13. General

13.1 The Licensor may vary the terms applying to future versions of the Software. Use of a version released after such a variation constitutes acceptance of the terms with which that version is supplied. Versions already held by the Licensee remain subject to the terms with which they were supplied.

13.2 The current version of this Licence is published at https://grimmtalestudios.com/licence. The copy included in each release records the version of this Licence that applies to that release.

13.3 If any provision of this Licence is held to be invalid or unenforceable, the remainder of this Licence continues in full force and effect.

13.4 No failure or delay by the Licensor in exercising any right under this Licence operates as a waiver of that right.

13.5 The Licensee may not assign or transfer this Licence or any right under it.
